SECTION 1: Scope of Agreement and Role of the Platform

1.1 Parties to the Agreement

This agreement is entered into by and between the User (hereinafter referred to as “Client” or “Architect”) and Alyia, a platform introduced, maintained, and managed by Vodex Developers (hereinafter referred to as “the Platform”).  

1.2 Nature of Service

Alyia acts exclusively as a professional intermediary. The Platform’s primary responsibilities are limited to:

  • Facilitating connections between Clients and Freelance Architects who are verified members of the Iraqi Syndicate of Engineers.

  • Providing secure infrastructure for the processing and handling of project-related payments.

  • Administering a dispute resolution framework to address conflicts arising from the use of the Platform, in accordance with the specific conditions detailed in this document.

1.3 Limitation of Professional Liability

Users acknowledge that Alyia, Vodex Developers, and its operators do not provide architectural or engineering services and are not a party to the professional contract between the Client and the Architect. Consequently:

No Technical Responsibility

The Platform is not responsible for the accuracy, safety, or legal compliance of construction-ready documents, blueprints, or technical specifications produced by users.

Construction Outcomes

The Platform shall not be held liable for any physical construction outcomes, structural failures, or deviations occurring during or after the building process.

Professional Oversight

Responsibility for the validity of the work rests solely with the Architect of record and the Client.

1.4 Acknowledgment of Authority

By using Alyia, the User agrees that Vodex Developers holds the final authority in managing the platform’s operational framework and enforcing the terms of use listed herein.

SECTION 2: User Registration and Verification

2.1 Architect Registration and Compliance

To ensure the integrity of professional services provided through Alyia, all individuals registering as Architects must satisfy the following criteria:

Legal Identification

Provide their full legal name as it appears on official government documentation.

Connectivity

Register using a valid phone number associated with an active WhatsApp account for official platform communication.

Professional Qualifications

Be a graduate of an accredited architectural program and maintain an active registration with the Iraqi Syndicate of Engineers (or the relevant regional Engineers’ Syndicate).

Identity Verification

Successfully complete an identity audit by submitting a valid National ID or Passport.

Alyia reserves the unilateral right to request supplementary verification documents at any time. The submission of fraudulent, expired, or misleading credentials will result in the immediate termination of the account and a permanent ban from the platform without prior notice.

2.2 Client Registration and Authentication

To access the platform for the purpose of hiring professional services, Clients must:

Legal Identification

Provide their full legal name.

Verified Connectivity

Register with a valid phone number linked to a WhatsApp account.

Authentication

Successfully complete the platform’s security protocol by verifying the provided phone number via a one-time authentication code (OTP).

The Platform maintains the right to restrict, suspend, or deny access to any Client whose information is found to be invalid, unverifiable, or associated with suspicious activity.

SECTION 3: Service Engagement and Project Agreements

3.1 Project Definition and Binding Scope

Prior to the commencement of any professional services, the Client and the Architect must establish a definitive Project Agreement within the Alyia platform.

This agreement must explicitly detail:

The Scope of Services

A granular description of the architectural tasks to be performed.

Deliverables

The specific files, drawings, or reports to be provided (e.g., floor plans, 3D renders, site analysis).

Project Timeline

Established milestones and final deadlines for submission.

Platform Primacy

Only deliverables and terms explicitly documented and mutually confirmed through the Alyia platform interface shall be recognized as part of the binding agreement. The Platform will not recognize verbal or external “side deals” as enforceable under its dispute resolution framework.

3.2 Scope Creep and Modifications

Any request initiated by the Client that deviates from or exceeds the originally agreed-upon Project Agreement shall be classified as Additional Work.

Formal Amendment

Additional work requires a new project entry or a formal amendment to the existing agreement within the platform.

Compensatory Adjustment

Such work must be accompanied by additional compensation, mutually agreed upon by both parties.

Right of Refusal

The Architect is under no legal or contractual obligation to perform services outside the original scope until a formal amendment and payment structure are finalized on the Platform.

3.3 Communication Protocol and Accountability

To maintain a verifiable record for transparency and to enable the Platform’s dispute resolution mechanisms:

Exclusivity

All project-related communications, file transfers, and negotiations must be conducted exclusively through the Alyia platform.

Disclaimer of Liability

The Platform and Vodex Developers expressly disclaim any liability for disputes, financial losses, or misunderstandings arising from communications or agreements made via external channels (e.g., private calls, external email, or third-party messaging apps).

Loss of Support

Failure to adhere to the on-platform communication policy may result in the Platform’s inability to intervene in disputes or provide payment protection services.

SECTION 4: Compliance and Platform Authority

4.1 Oversight and Monitoring

To ensure a secure professional environment, the Platform reserves the unilateral right to monitor all user activities, communications, and transactions. This monitoring is conducted solely to ensure strict compliance with this Agreement and to maintain the integrity of the marketplace.

4.2 Enforcement and Corrective Actions

Vodex Developers maintains the absolute authority to enforce platform rules.

In the event of a breach of these Terms, the Platform may apply corrective measures including, but not limited to:

Formal Warnings

Issuing official notices regarding non-compliant behavior.

Access Restriction

Limiting specific features or visibility of a user’s profile.

Account Suspension or Termination

Immediate and permanent removal of access in cases of professional misconduct, fraudulent activity, or repeated violations of platform policy.

4.3 Adjudicative Authority in Disputes

In the event of a disagreement between a Client and an Architect, the Platform reserves the right to intervene as an arbitrator.

Evidence-Based Determinations

Decisions will be made based on documented evidence found within the Platform, including the agreed Scope of Work, message logs, and submitted deliverables.

Finality of Decisions

By using Alyia, all users explicitly agree to accept and abide by the Platform’s final determination regarding dispute resolutions, fund distributions, and the interpretation of these Terms.

4.4 Indemnification

Users agree that the Platform’s exercise of its authority—including account termination or dispute rulings—does not entitle the user to any compensation or legal claim against Vodex Developers or its operators.

SECTION 5: Beta Version Disclaimer and Limitation of Liability

5.1 Nature of the Beta Environment

Users expressly acknowledge and agree that Alyia is currently operating in a Beta testing phase. The Platform is provided “as-is” for the purpose of evaluating performance, identifying bugs, and gathering user feedback.

Consequently, the User accepts that the service environment is subject to frequent and significant changes.

5.2 Evolution of Platform Features

Vodex Developers reserves the right to modify, enhance, or remove any aspect of the Platform at its sole discretion and without prior notice.

This includes, but is not limited to:

Feature Dynamics

Changes to the user interface, available tools, and architectural project management functionalities.

Workflow Adjustments

Alterations to the bidding process, communication protocols, or file submission methods.

Policy Updates

Periodic adjustments to system behavior, fee structures, and the Terms and Conditions to reflect the evolving needs of the Beta phase.

5.3 Disclaimer of Liability for Technical Interruptions

The Platform and Vodex Developers shall not be held liable for any damages, losses, or inconveniences resulting from the Beta nature of the app.

This includes:

Service Interruptions

Downtime, system crashes, or temporary unavailability of the Platform.

Data Integrity

Potential loss of data, message history, or uploaded architectural files.

Users are encouraged to maintain external backups of all critical documents.

Functional Limitations

Errors in automated processes or system-generated notifications.

5.4 Assumption of Risk

By participating in the Beta version of Alyia, the User assumes all risks associated with the use of an experimental platform.

The User agrees that their sole remedy for dissatisfaction with the Beta service is to cease using the Platform.

SECTION 6: Payment, Wallet, and Financial Transactions

6.1 Platform Wallet and Escrow System

To ensure financial security and trust, all monetary transactions for architectural services must be conducted exclusively through the Alyia digital wallet system.

Pre-funding Requirement

Clients must deposit the full project or milestone amount into the platform wallet prior to the commencement of work.

Escrow Protocol

Funds are securely held by the Platform as a neutral intermediary. Alyia does not claim ownership of these funds but acts as an escrow agent to ensure both parties fulfill their contractual obligations.

Security Holds

The Platform reserves the right to delay, freeze, or withhold transactions in the event of suspected fraudulent activity, pending disputes, or identified violations of these Terms.

6.2 Payment Release and Approval

Funds held in escrow shall be transferred to the Architect’s available balance under the following conditions:

Milestone/Final Completion

Upon the successful delivery of work as defined in the Project Agreement.

Client Review Period

The Client is granted a specified window (as determined by the project settings) to review deliverables.

Constructive Acceptance

If the Client fails to approve the work or raise a formal dispute within the designated review period, the Platform may trigger an automatic approval and release the funds to the Architect.

6.3 Platform Commission and Fees

In exchange for providing the marketplace infrastructure, security, and payment handling, Alyia shall deduct a service commission:

Rate

A commission fee ranging between 5% and 10% will be applied to each completed transaction.

Variable Adjustments

The exact percentage may fluctuate based on the specific service category or active promotional offers.

Rate Changes

The Platform reserves the right to adjust commission structures, with notice provided to users through the Platform interface.

6.4 Withdrawal of Funds

Architects may withdraw cleared funds from their wallet to their external accounts, subject to:

Verification

Completion of any outstanding identity or professional verification checks.

Processing Times

Standard bank or provider processing windows as defined by Vodex Developers.

Fees and Limits

Withdrawals may be subject to transaction fees and graduated limits designed to prevent fraud and maintain financial stability within the Beta environment.

6.5 Prohibition of Off-Platform Transactions (Circumvention)

Users are strictly prohibited from soliciting, offering, or accepting payments outside the Alyia wallet for projects initiated on the Platform.

Zero Tolerance

Circumventing the Platform’s payment system undermines the security of both parties. Any attempt to move transactions off-platform will result in immediate account suspension, a permanent ban, and potential financial penalties equivalent to the lost commission.

Disclaimer

The Platform and Vodex Developers assume no liability for losses, fraud, or quality issues arising from transactions conducted outside the official wallet system.

SECTION 7: Project Delivery and Deadlines

7.1 Delivery Obligations and Quality Standards

Architects carry the primary responsibility for the execution and submission of project milestones. To fulfill these obligations, the Architect must:

Adherence to Specifications

Deliver work that strictly aligns with the Scope of Work and technical requirements established in the Project Agreement.

Timeline Compliance

Ensure all deliverables are submitted on or before the mutually agreed-upon deadlines.

Professional Formatting

Provide documents in industry-standard, professional, and usable formats (e.g., high-resolution PDFs, CAD files, or other specific formats explicitly requested in the agreement) to ensure the Client can utilize the work as intended.

7.2 Management of Delays

The Platform recognizes that architectural design can be subject to unforeseen complexities. However, to maintain professional accountability:

Mandatory Notification

In the event of an impending delay, the Architect must immediately notify the Client via the Platform’s communication tools.

Timeline Renegotiation

Any extension of a deadline must be formally proposed and accepted by both parties within the Platform interface.

Sanctions for Non-Compliance

Unjustified, uncommunicated, or habitual delays may trigger corrective actions by the Platform, including official warnings, financial penalties deducted from the project fee, or project cancellation and reassignment.

7.3 Client Responsibilities and Feedback Loops

Successful project delivery is a bilateral process. To avoid bottlenecking the Architect’s progress, the Client must:

Information Provision

Provide all necessary site data, preferences, and documentation required for the Architect to begin or continue work in a timely manner.

Review Deadlines

Evaluate submitted milestones within the timeframe specified by the Platform’s workflow.

Consequences of Inactivity

Should a Client fail to provide feedback or respond to queries within the allotted time, the Platform reserves the right to:

  1. Grant the Architect a proportional extension on the final deadline.

  2. Trigger the Automatic Approval of submitted work and the subsequent release of funds if the review period expires without action.

SECTION 8: Project Recovery and Reassignment

8.1 Platform Intervention Criteria

To safeguard the continuity of projects and protect the Client’s investment, Alyia reserves the right to intervene when an Architect demonstrates a failure to meet their professional obligations.

Intervention may be triggered by:

Persistent Delay

Unjustified failure to meet established milestones or final deadlines.

Technical Non-Compliance

Submission of deliverables that are incomplete, professionally inadequate, or fail to meet the agreed-upon specifications.

Abandonment/Communication Failure

Lack of response to the Client or the Platform for a period exceeding [e.g., 48–72 hours] during an active project phase.

8.2 Project Reassignment Protocol

If the Platform determines that the original Architect is unable or unwilling to complete the project, Alyia may facilitate the reassignment of the work to a secondary qualified Architect.

Selection Criteria

Reassignment is based on the new Architect’s verified experience level, performance history within the Platform, and immediate availability.

Objective

The primary goal of reassignment is to minimize disruption, ensure the project reaches completion, and mitigate any professional or financial damages to the Client.

Handover of Assets

The original Architect may be required to relinquish any preliminary work or data files already paid for by the Client to facilitate a smooth transition to the new Architect.

8.3 Consequences for the Original Architect

Failure to fulfill a project agreement resulting in Platform intervention will lead to disciplinary measures against the original Architect, including:

Financial Forfeiture

Partial or total forfeiture of the project fee (escrow funds), which may be redirected to compensate the new Architect or refunded to the Client.

Administrative Sanctions

Formal account penalties, temporary suspension, or permanent termination of platform access.

Performance Impact

A permanent reduction in platform visibility, ranking, or “Trust Score,” which will affect future project opportunities.

SECTION 9: Dispute Resolution and Mediation

9.1 Platform Mediation Process

In the event of a professional disagreement, conflict, or failure to reach consensus between a Client and an Architect, Alyia shall serve as the primary mediator.

To initiate and participate in the mediation process:

Active Cooperation

Both parties are required to cooperate fully with the Platform’s inquiry.

Evidence Submission

Both parties must provide all relevant evidence, including specific technical requirements, detailed communication records, and any preliminary drafts or files relevant to the dispute.

9.2 Final Decision Authority

By using the Platform, all users explicitly acknowledge and agree that Alyia (and its operators, Vodex Developers) holds the authority to issue a final, binding decision regarding the dispute within the operational scope of the Platform.

Basis of Adjudication

Decisions will be rendered based strictly on the documented Scope of Work, on-platform communication history, and the technical quality of submitted deliverables.

Binding Nature

All users agree to accept the Platform’s determination as final, including decisions related to the release of funds, project cancellation, or account sanctions.

9.3 Refund Policy and Fund Distribution

Refunds are not issued arbitrarily and are handled through the Platform’s escrow management system.

The determination of a full or partial refund shall be based on:

Project Proportionality

The specific stage of project completion at the time the dispute was raised.

Compliance Audit

An assessment of whether the delivered work meets the agreed-upon professional standards and specifications.

Evidence Review

A thorough evaluation of the documentation provided by both the Client and the Architect.

Adjustment of Fees

If a refund is granted, the Platform reserves the right to adjust or retain the service commission to cover administrative and mediation costs.

SECTION 10: Intellectual Property Rights

10.1 Ownership and Licensing

Architects shall retain all legal ownership, copyright, and intellectual property rights to their original designs, concepts, and technical drawings unless a specific written agreement stating otherwise is executed between the parties.

Transfer of Usage Rights

Upon the successful release of full and final payment from the Platform wallet to the Architect, the Client is automatically granted a non-exclusive, perpetual license to use the designs for the specific project and purpose for which they were commissioned.

Payment Contingency

No transfer of rights or licenses shall occur until the Architect has received the total agreed-upon compensation.

10.2 Usage Restrictions and Portfolio Rights

To protect the professional work of the Architects and the integrity of the Platform:

Prohibition of Resale

The Client may not reuse, resell, modify, or redistribute the designs for other projects or to third parties without the express written consent of the Architect.

Portfolio Rights

The Architect retains the inherent right to display the project deliverables, renders, and concepts within their professional portfolio and on the Alyia platform for self-promotional purposes.

Confidentiality Exceptions

If a project involves sensitive or private information, the Client and Architect may mutually agree in writing to restrict portfolio display or require the redaction of specific details.
11.1 General Disclaimer of Damages

To the maximum extent permitted by applicable law, Alyia, Vodex Developers, and its operators shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the platform.

This includes, but is not limited to:

  • Loss of profits

  • Data loss

  • Business interruptions occurring during the Beta phase or thereafter

11.2 Scope of Professional Responsibility

The User acknowledges that the Platform’s role is strictly limited to that of a digital intermediary.

Consequently:

Work Quality

The Platform is not responsible for the technical accuracy, aesthetic quality, or professional execution of architectural work beyond the facilitation of digital deliverables.

Beyond Digital Scope

The Platform assumes no responsibility for how digital designs are interpreted, modified, or applied by the Client or third-party contractors outside the Platform environment.

11.3 Construction and Real-World Outcomes

Alyia expressly disclaims all liability regarding real-world construction outcomes.

This includes:

  • Structural failures, safety hazards, or non-compliance with local building codes.

  • Errors made by contractors, builders, or engineers during the physical execution of a design.

  • Financial losses resulting from construction delays or material costs.

11.4 Professional Actions of Users

The Platform does not assume responsibility for the professional actions, omissions, or conduct of its users.

Any professional negligence or malpractice remains the sole legal and ethical responsibility of the individual Architect registered with the Iraqi Syndicate of Engineers.

By using the Platform, the Client agrees to seek recourse solely against the Architect of record for issues pertaining to professional design standards.

SECTION 12: Force Majeure

12.1 Excuse of Performance

Neither Alyia, Vodex Developers, nor its operators shall be held liable or responsible for any failure to perform, or any delay in the performance of, any of their obligations under these Terms that is caused by a Force Majeure Event.

A Force Majeure Event includes any act, event, non-happening, omission, or accident beyond the Platform’s reasonable control.

12.2 Included Events

Force Majeure Events include, but are not limited to:

Natural Disasters

Fire, flood, earthquake, or other catastrophic environmental events.

Governmental Actions

Changes in law, regulations, strikes, civil unrest, or government-mandated shutdowns.

Technical Failures

Widespread internet outages, failure of third-party hosting providers, or disruption of telecommunication networks.

Security Breaches

Major cyber-attacks or regional network interruptions that compromise the Platform’s operational integrity.

12.3 Impact on User Agreements

In the event of a Force Majeure, the Platform’s obligations—including payment processing and dispute resolution timelines—will be suspended for the duration of the event.

While the Platform will make reasonable efforts to restore services, users acknowledge that project deadlines and financial transfers may be delayed without penalty to the Platform.

SECTION 13: Data Privacy and Protection

13.1 Commitment to Confidentiality

The Platform is committed to maintaining the highest standards of data integrity and protecting the personal and professional information of its users.

All data handled by Alyia is treated as confidential and is used solely to facilitate the professional services described in these Terms.

13.2 Data Collection and Secure Storage

Personal information collected during the registration and verification process—including legal names, WhatsApp-linked phone numbers, professional credentials, and government-issued identification—shall be stored using secure digital infrastructure.

Vodex Developers implements industry-standard encryption and security protocols to prevent unauthorized access, loss, or alteration of user data.

13.3 Third-Party Sharing and Consent

The Platform strictly adheres to the following data-sharing principles:

No Commercial Sale

The Platform shall not sell or lease user data to third-party advertisers or data brokers.

Operational Necessity

Data may be shared with third-party service providers (such as payment processors or cloud hosting services) only to the extent necessary to operate the Platform’s core functions.

Legal Compliance

The Platform reserves the right to disclose user information if required by law, subpoena, or a valid order from a competent Iraqi judicial authority.

13.4 User Responsibility for Credentials

Security is a shared responsibility.

Users are exclusively responsible for:

  • Maintaining the confidentiality of their account credentials (login and OTP).

  • Securing the WhatsApp account linked to the Platform.

  • Notifying the Platform immediately if they suspect an unauthorized breach of their account.

13.5 Security Monitoring and Verification

To prevent misuse, fraud, and professional identity theft, the Platform reserves the right to implement:

Active Monitoring

Automated systems to detect suspicious login patterns or unusual financial activity.

Identity Re-verification

Periodic requests for users to re-verify their identity or Syndicate standing.

Anti-Misuse Protocols

Procedures to flag and investigate any attempts to compromise the Platform’s security or the privacy of other users.

SECTION 14: Account Suspension and Termination

14.1 Grounds for Suspension and Termination

To maintain the professional integrity of the marketplace, Alyia and Vodex Developers reserve the unilateral right to suspend or permanently terminate any user account.

Corrective actions may be taken in cases including, but not limited to:

Policy Violations

Any breach of the terms, rules, or operational guidelines established in this document.

Misrepresentation

Submission of false, expired, or misleading credentials, identity documents, or professional qualifications.

Fraud and Illegality

Engagement in fraudulent financial activity, money laundering, or any illegal acts.

System Circumvention

Attempting to bypass the Platform’s payment system (off-platform transactions), fee structures, or security protocols.

Professional Failure

Repeated or gross failure to fulfill project obligations, including abandonment of projects or consistent delivery of sub-standard work.

14.2 Effects of Termination

Upon the suspension or termination of an account, the following consequences shall apply:

Revocation of Access

Immediate restriction or total revocation of access to the Platform’s interface, project history, and communication tools.

Financial Audit

All pending transactions and wallet balances will be subject to a comprehensive review.

The Platform reserves the right to delay, cancel, or withhold payments during this period.

Escrow Hold

Funds may be held temporarily in escrow until all outstanding project disputes, Client refunds, or Architect obligations are fully resolved.

Administrative Discretion

The Platform retains full and final discretion in determining the duration of a suspension or the necessity of a permanent ban based on the severity of the violation.

SECTION 15: Advertising and Promotion

15.1 Promotional Service Offerings

To enhance professional visibility, Alyia may provide Architects with optional, paid promotional services.

These features are designed to help professionals distinguish their profiles within the marketplace and may include:

Featured Listings

Highlighting specific Architect profiles or portfolios on the Platform’s homepage or category landing pages.

Priority Visibility

Utilizing algorithmic adjustments to place the Architect’s profile or project bids in a prominent position within search results.

15.2 Transparency and Disclosure

To maintain the integrity of the marketplace and ensure a fair environment for Clients:

Clear Identification

Any profile or bid that has been boosted through a paid promotion shall be clearly identified with a “Promoted,” “Featured,” or similar label.

Neutrality of Selection

Users acknowledge that while promotional services increase exposure, they do not guarantee project selection, client engagement, or the awarding of contracts.

The final decision to hire remains exclusively with the Client.

15.3 Regulation of Promotional Content

The Platform reserves the unilateral right to:

Modify Offerings

Adjust the types, costs, and durations of promotional packages at any time.

Regulate Quality

Deny or remove promotional status for profiles that do not meet the Platform’s quality standards, even if the fee has been paid (in which case, a proportional refund may be issued).

Fair Competition

Ensure that promotional features do not compromise the searchability of non-promoted, high-quality professionals.
SECTION 16: Educational Content and Courses

16.1 Provision of Educational Material

To support the professional development of the architectural community, Alyia may provide access to a library of educational content, including but not limited to specialized courses, technical tutorials, and industry workshops.

This content may be offered as either free resources or premium, paid modules.

16.2 Management and Quality Control

The curriculum, structure, and quality standards of all educational materials are managed exclusively by the Platform or by third-party contributors approved by Vodex Developers.

While the Platform strives for high-quality instruction, the provision of educational content does not constitute a formal academic accreditation unless explicitly stated.

16.3 Financial Terms for Educational Services

Separation of Fees

Fees associated with the purchase of educational courses are distinct and separate from the service commissions applied to architectural projects.

Non-Refundable Nature

Unless otherwise specified by the Platform, fees for digital educational content are generally non-refundable once access has been granted.

16.4 Intellectual Property of Course Content

All educational materials, including videos, documents, and interactive assets, are the intellectual property of the Platform or its contributors.

Strict Prohibitions

Users are strictly prohibited from reproducing, distributing, reselling, or publicly displaying course content without express written authorization from the Platform.

Personal Use License

Purchase of a course grants the user a limited, non-transferable license for personal, professional development use only.

16.5 Right to Modify or Withdraw Content

The Platform reserves the right to update, modify, or permanently remove any educational content or courses at any time to ensure information remains current or to reflect changes in platform strategy.

SECTION 17: Platform Modifications and Evolution

17.1 Right to Modify Services

As Alyia is a dynamic digital marketplace, Vodex Developers reserves the unilateral right to modify, suspend, or discontinue any feature, tool, or service functionality at its sole discretion.

This includes, but is not limited to:

Feature Dynamics

Adding new capabilities or retiring existing ones to improve platform performance.

Workflow Adjustments

Changing the bidding, project management, or file submission processes.

Service Availability

Temporarily or permanently suspending sections of the Platform for maintenance, security upgrades, or strategic repositioning.

17.2 Updates to Pricing and Operational Structures

Notice of Change

While the Platform will endeavor to provide reasonable notice of significant changes (e.g., via in-app notifications or the registered WhatsApp number), users are encouraged to review these Terms periodically.

Acceptance of Changes

Continued use of the Platform following any modifications constitutes the User’s explicit acceptance of the updated workflows and pricing.

17.3 Acknowledgment of Beta Evolution

Users expressly acknowledge that the Platform is in a state of continuous evolution, particularly during the Beta phase.

Changes may be implemented rapidly based on technical requirements and user feedback.

The User agrees that:

  • The Platform may not function identically from one session to the next.

  • Specific features used in previous projects may be replaced or removed in future iterations.

17.4 Limitation of Liability for Modifications

Vodex Developers and its operators shall not be held liable to any User or third party for any impact resulting from such modifications, including:

  • Loss of access to a specific retired feature.

  • Adjustments to project visibility or ranking due to algorithmic updates.

  • Any inconvenience caused by the transition to new system behaviors.

SECTION 18: Governing Law and Jurisdiction

18.1 Applicable Law

These Terms and Conditions, and any professional or financial relationship established through the Platform, shall be governed by, construed, and interpreted in accordance with the laws of the Republic of Iraq.

This includes compliance with regional commercial codes, electronic transaction laws, and the professional regulations set forth by the Iraqi Syndicate of Engineers.

18.2 Submission to Jurisdiction

Any dispute, controversy, or claim arising out of or related to the use of the Alyia platform—including disagreements regarding project outcomes, payment distributions, or breach of contract—that cannot be resolved through the Platform’s internal mediation (as defined in Section 9) shall fall under the exclusive jurisdiction of the competent courts of Iraq.

18.3 Legal Validity

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

SECTION 19: Entire Agreement

19.1 Integration and Supersedence

These Terms and Conditions, along with any specific Project Agreements executed within the Platform, constitute the entire and exclusive agreement between the User and Vodex Developers regarding the use of the Alyia platform and its associated services.

This document supersedes and replaces all prior or contemporaneous understandings, commitments, communications, or agreements—whether written or oral—between the parties concerning the subject matter herein.

19.2 No Oral Modifications

No employee, agent, or representative of the Platform has the authority to modify these Terms through verbal statements or informal correspondence.

Any modification to the core relationship between the Platform and the User must be reflected in an updated version of these Terms or a formal written amendment issued by Vodex Developers.

19.3 Precedence

In the event of a direct conflict between these general Terms and Conditions and a specific Project Agreement, these Terms shall govern unless the Project Agreement explicitly states that it is intended to override a specific section of these Terms for that unique project.

SECTION 20: Acceptance of Terms

20.1 Binding Affirmation

By completing the registration process, accessing the interface, or utilizing any of the services provided by Alyia, the User explicitly confirms and warrants that:

They have read, reviewed, and fully understood every section of these Terms and Conditions.

Legal Consent

They voluntarily agree to be legally bound by all provisions, obligations, and restrictions set forth in this document.

Recognition of Authority

They acknowledge and accept the full authority of Vodex Developers to monitor, regulate, and enforce these terms—including the mediation of disputes and the administration of account sanctions—as described herein.

20.2 Electronic Signature

The User acknowledges that clicking “I Agree,” “Register,” or any equivalent confirmation during the account creation process constitutes a legally binding electronic signature, carrying the same weight and effect as a handwritten signature under the laws of the Republic of Iraq.

20.3 Continued Use

Any subsequent use of the Platform following the publication of updates or modifications to these Terms shall constitute a renewed acceptance of the revised Agreement.

If at any time the User no longer agrees to be bound by these Terms, they must immediately cease all use of the Platform and request account closure.
